1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access our website or use our services.

These Terms apply to all visitors, users, clients, and others who access or use the services provided by NoFlick Pvt Ltd ("NoFlick," "we," "us," or "our").

2. Services

NoFlick provides digital marketing services including but not limited to:

• Local SEO and Google Business Profile optimization
• Meta Ads (Facebook and Instagram advertising) campaign management
• Google Ads (Search and Display) campaign management
• Free GBP audit reports
• Related consulting and strategy services

The specific scope, deliverables, timeline, and pricing for each engagement will be agreed upon in writing between NoFlick and the client before work begins.

3. Free GBP Audit

Our free Google Business Profile audit is provided at no cost and with no obligation. By requesting a free audit, you agree to provide accurate business information and consent to being contacted by NoFlick regarding the audit results and our services. The free audit is a one-time service per business.

4. Client Obligations

When engaging our paid services, clients agree to:

• Provide timely access to necessary accounts (Google Business Profile, Meta Business Manager, Google Ads, etc.)
• Provide accurate and truthful business information
• Respond to communications within a reasonable timeframe
• Make agreed-upon payments on time
• Not engage in practices that violate Google, Meta, or other platform policies
• Provide necessary approvals for ad creatives and content within agreed timelines

5. Payment Terms

• Service fees are agreed upon before engagement and documented in writing
• Payment is due as specified in the service agreement (typically monthly in advance)
• Ad spend budgets are separate from service fees and are paid directly to the advertising platforms or as agreed
• Late payments may result in suspension of services
• All fees are in Pakistani Rupees (PKR) unless otherwise stated

6. Results Disclaimer

Important: While we have a proven track record of delivering results, NoFlick does not guarantee specific rankings, traffic numbers, lead volumes, or revenue outcomes. Digital marketing results depend on many factors including but not limited to industry competition, market conditions, business quality, client cooperation, and platform algorithm changes.

Past results and case studies shown on our website are based on actual client outcomes but are not a guarantee of future performance. We commit to applying industry best practices and proven strategies to maximize your results.

7. Intellectual Property

• All content, designs, strategies, and materials created by NoFlick remain our intellectual property until full payment is received
• Upon full payment, ad creatives and content created specifically for the client are transferred to the client
• NoFlick retains the right to showcase anonymized results as case studies unless the client objects in writing
• The NoFlick brand, logo, and website content are protected by copyright

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, financial information, account credentials, and campaign data. This obligation survives the termination of services.

9. Termination

• Either party may terminate the service engagement with 30 days written notice
• NoFlick reserves the right to terminate services immediately if the client violates these terms, engages in fraudulent activity, or fails to make payment after reasonable notice
• Upon termination, the client will be invoiced for all work completed up to the termination date
• Account access and credentials will be returned to the client upon termination and settlement of all outstanding payments

10. Limitation of Liability

To the maximum extent permitted by law, NoFlick shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, or loss of data, whether arising from contract, tort, or otherwise.

Our total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim.

11. Third-Party Platforms

Our services involve the use of third-party platforms including Google, Meta (Facebook/Instagram), and others. We are not responsible for changes to these platforms' policies, algorithms, pricing, or availability. Platform policy changes may affect campaign performance and strategy, and we will adapt accordingly.

12. Website Use

By using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any part of the website
• Reproduce, duplicate, or copy any content from the website without permission
• Use automated systems or software to extract data from the website

13. Indemnification

You agree to indemnify, defend, and hold harmless NoFlick Pvt Ltd, its directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms or your use of our services.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Lahore, Pakistan.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Continued use of our website or services after changes constitutes acceptance of the modified Terms.
